Service Agreement

1. Services
Frederick & Rosa AI provides AI-powered phone automation, call answering, lead capture, scheduling support, workflow automation, integrations, and related implementation services based on the selected service plan, quoted scope of work, or custom agreement.
2. Setup Fees
Setup fees start at the amount shown on the pricing page but are not fixed for every client. Final setup pricing may vary based on business size, call volume, integrations, custom workflows, level of automation, number of locations, and other implementation requirements.
Final setup pricing will be confirmed before service activation and may be documented through a proposal, quote, invoice, Stripe checkout session, or other written agreement.
Setup fees cover onboarding, planning, configuration, deployment, implementation, testing, custom development, integration work, and related setup activity. Setup fees are non-refundable once onboarding, configuration, deployment, implementation, custom development, or integration work has started.
3. Monthly Service Fees
Monthly service begins only after installation, onboarding, configuration, testing, and launch are completed, unless otherwise agreed in writing. Monthly billing does not begin immediately upon purchase and will only start once the system has been fully installed, tested, and made operational for the client.
Monthly service fees are based on the selected plan, call volume, level of support, customization, automation requirements, system complexity, and ongoing usage.
Ongoing monthly service may include hosting, monitoring, maintenance, optimization, support, workflow updates, reporting, operational assistance, and related service activity depending on the agreed scope.
Final monthly pricing will be confirmed prior to activation and may be reflected in a proposal, quote, invoice, Stripe subscription, or other written agreement.
4. Custom Scope and Pricing Adjustments
Frederick & Rosa AI reserves the right to adjust pricing based on scope, implementation needs, usage, integrations, call volume, support requirements, and requested customizations.
If the client requests additional features, workflows, integrations, locations, automations, or other expanded functionality beyond the originally agreed scope, additional setup fees, monthly fees, or both may apply.
5. Cancellation Policy
Clients may request cancellation in writing at any time. Setup fees are non-refundable once onboarding, configuration, deployment, implementation, custom development, or integration work has started. Monthly service fees are non-refundable once billed. Cancellation stops future billing only after the current billing period, unless otherwise agreed in writing.
6. Client Responsibilities
The client is responsible for providing accurate business information, timely access to required systems, timely responses during setup and onboarding, and compliance with all applicable laws related to their use of phone, SMS, marketing, AI, and communication systems. The client is solely responsible for how the services are used within their business operations.
7. No Guarantee of Results
Frederick & Rosa AI does not guarantee specific revenue outcomes, lead volume, conversion rates, appointment volume, or other business results. Outcomes depend on factors beyond our control, including client responsiveness, client processes, market demand, third-party systems, and end-user behavior.
8. Limitation of Liability
To the maximum extent permitted by law, Frederick & Rosa AI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, missed leads, missed calls, lost opportunities, data loss, or business interruption. Our total liability for any claim related to the services shall not exceed the total amount paid by the client for the services giving rise to the claim.
9. Third-Party Providers
Services may depend on third-party providers, including telecom providers, payment processors, APIs, hosting providers, scheduling systems, CRMs, and other platforms. Frederick & Rosa AI is not responsible for third-party outages, pricing changes, service failures, delays, or policy changes.
10. Acceptance
By purchasing services, checking the agreement box, submitting payment, accepting a quote, signing an agreement, or continuing with onboarding, the client agrees to this Service Agreement.
